AUTOMATED JOB HAZARD
ANALYSIS (AJHA) WEB SITE CONTRACT
This Automated Job Hazards Analysis (AJHA) Web Site Contract (this “Contract”) is entered into as of _________________, 2004, by and between AllWorkSafe Incorporated (“Provider”) and the party identified in paragraph 1 below (“Client”). For good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties agree as follows:

Client herby retains Provider to store and host as indicated below, an Automated Job Hazard Analysis (AJHA) Web Site (the “Web Site”) for Client. The Provider shall perform services for Client, and Client shall pay provider in consideration thereof the following fees:
AJHAWEB Includes:
· One Site facility name with Standard Hazard Tree Questions and related generic controls, forms and permits, and triggers for general subject matter expect categories.
· One training area which is a duplicate of the Site Facility.
· Access to the AJHAWeb software web site 24 hours per day 7 days per week (Less maintenance outages as notified)
· No limit to the number of users or job hazard analysis performed
· Storage Database (Inventory) of all AJHA created
· Help Screens for each level one Hazard Tree Question
· Mini Helps space for each hazards question, with some generic Mini-help comments populated on selected hazard statements
· Users Guide for each AJHAWEB Screen
· Set up Employee alpha listing
· Standard AJHA Report and some generic forms/permits
· Site specific AJHA Numbering system
· One (1) e-mail account – communicate with your site users and AJHAWEB
· Daily backup of data
· SSL Secure Server Encryption
· Eight (8) hours basic training – travel and expenses not included.
· Eight (8) hours over first 60 days for help calls and questions. E-mails requiring a response will be handle the same as a phone call.
· After the first 60 days, one (1) hour per month for help calls and questions, any additional calls will be billed at the current hourly rate by the quarter hour. E-mails requiring a response will be handle the same as a phone call.

If Client requests services in addition to those set forth in section 2 above, Client shall pay additional fee to Provider as described:
Training: $1400/day (Does not include travel time and expenses)
General users Training
AJHA Coordinator Training
Administrator Training (Site or Facility)
Hazard Tree/Controls Modifications: Current Hourly rate
Modifications to the Technical Authority/Subject Matters Expert listings: Current Hourly Rate
Modification of Help Screens and Mini-Help pages: Current Hourly Rate
Feedback Database with Combined ALARA/Post Job Review Form: $150 Set-up fee
Modifications to the search criteria on Feedback Database: Current Hourly Rate
Customized Forms and or Permits: Current Hourly Rate
Additional facility: $250 set up, $50 Monthly fee, includes 15 minutes per month additional site time for helps calls and questions. E-mails requiring a response will be handled the same as a phone call.
Help/Question e-mails and calls over the monthly time allowed in Section 2 above: Current hourly rate, billed by the quarter hour.
Radiation Work Permit Database and RWP Form: $150 Set-up fee
This agreement shall continue in force for 12 months from and after the date thereof, and shall thereafter renew automatically for successive 12-month terms, unless terminated as provided in the next sentence. Either party may terminate this Agreement by delivering written notice of termination to the other party no later than 60 days before expiration of any 12-month period. In the event of such termination, this Agreement shall terminate effective as of the end of such 12-month period.
A) Start up fees. Client shall pay the Total Startup fees shown in section 2 above, plus any additional elective Startup fee due under section 3 above, with the return of this signed Contract to initiate AJHAWEB Software Website.

B) Annual Renewal Fees. Client shall be billed for renewal 60 days in advance of the expiration date of this Agreement with payment due 30 days in advance of expiration date, for the Total Annual fees shown in Section 2 above, plus any additional elective fees due under section 3 above. A late charge will be applied seven (7) days after the due date at a rate of 1.5% per month/18% APR. (Annual percentage Rate)
The terms and conditions as stated in the Automated Job Hazard Analysis (AJHA) Terms of Use Agreement are herby agreed to under this Agreement.
(A) As used herein, “Default” shall mean any of the following: (I) Client’s failure to pay, on or before the anniversary renewal date of each year, the Annual fees described in paragraph 5 above; (II) any breach by Client of any other provision of this Agreement or of any statute or regulation, where such breach continues for ten days following written notice thereof from Provider to Client.
(B) Upon Any default, in addition to any and all other remedies available under law to Provider, Provider may at its option restrict access by Client and/or the public to all or any part of the Web Site.
